A. Duty to Maintain Confidentiality. Tribal Council members or other Tribal officials must not disclose or reveal confidential information of the Tribe, its programs, enterprises or subsidiaries.

B. Confidential Information. Confidential information includes but is not limited to:

1. Information concerning employees of the Tribe, its programs, enterprises and subsidiaries including, but not limited to, pay, employment status, disciplinary actions and employee health information;

2. Information concerning individuals seeking employment with or employees of the Tribe, its programs, enterprises and subsidiaries;

3. Financial information and business or trade secrets concerning the Tribe, its programs, enterprises and subsidiaries;

4. Legal matters, including legal strategy, advice given by the Tribe’s legal counsel, potential litigation, legal matters discussed in executive session;

5. The Tribe’s negotiating position or strategy in financial transactions, leases and purchases, including dealing with lenders or potential grant or funding sources; or

6. The content of any meeting of the Tribal Council held in executive session unless the Tribal Councilmember has prior authorization from Tribal Council to discuss such matters.

C. When Confidential Information May be Revealed. A Tribal Council member or other Tribal official may reveal confidential information only when compelled to do so by a subpoena or court order from a court of competent jurisdiction. [Adopted 10/11 § 3.]
