The Chairperson of the Board may, when he deems it expedient, and shall, upon the written request of two members of the Board, call an emergency meeting of the Board for the purpose of transacting any business designated in the call. Actual notice must be given to each member of the Board at least 14 hours prior to the time of such emergency meeting. At such emergency meeting, no business shall be considered other than as designated in the call, and no action may be taken without the concurrence of three Directors, but if all of the members of the Board are present at any emergency meeting any and all business may be transacted at such meeting.
