The Chairperson, or in his absence the Vice-Chairperson, shall preside at meetings of the Board of Directors. The Secretary of the Board, or in his or her absence any person appointed by the presiding officer, shall act as Secretary at meetings of the Board of Directors. Robert’s Rules of Order shall serve as the procedural guide for all meetings of the Board, but shall not act to diminish or enlarge any rights or responsibilities of the Board or its members as such rights and responsibilities are described in these bylaws or the ordinances, policies, resolutions or other regulations of the Wiyot Moul Association.
