For purposes of this chapter, the word or words listed in this section shall have the following meanings:

“Articles of incorporation” means any legal instrument filed with the Wiyot Tribe under this chapter or any other statute to organize a corporation, as amended or supplemented by a certificate of amendment, merger, or consolidation.

“Board” means the board of directors or other governing body of a corporation.

“Class” means a category of shares of stock that differs in designation, rights or preferences from another category of shares of the corporation.

“For-profit corporation” means a corporation organized for the purpose of generating profit, the income of which is distributable for the benefit of its shareholders or owners, and whose assets, upon dissolution, are distributable to its shareholders or owners.

“Nonprofit corporation” means a corporation organized for charitable purposes and in which no part of the income of the corporation is distributable to any person by reason of that person’s status as a member, director, officer or employee, except for reasonable wages or salaries for work performed, and whose assets, upon dissolution, are permanently dedicated to charitable or governmental purposes.

“Shares” means the units into which proprietary interests in a corporation are divided.

“Tribal Council” means the Wiyot Tribal Council as constituted under the Constitution of the Wiyot Tribe.

“Tribe” means the Wiyot Tribe, a sovereign Indian tribe. [Ord. 18-23 Art. I § 9.05.040, approved 6/12/23.]
